1. ACCEPTANCE AND APPLICABILITY
These terms of use ("Terms") govern Your use of the services made available on or through the mobile application 'CookEzee', the website at https://cookezee.com, and any related software, application programming interfaces, or digital interfaces operated by Us (collectively, the "Platform", and together with the services made available on or through the Platform, the "Services"). These Terms also include any guidelines, additional or supplemental terms, policies (including the Privacy Policy, Cancellation & Refund Policy, and any Cook Partner Onboarding Policy), and disclaimers made available or issued by Us from time to time ("Supplemental Terms"). The Supplemental Terms form an integral part of these Terms. In the event of a conflict between these Terms and the Supplemental Terms with respect to the applicable Services or subject matter, the Supplemental Terms will prevail.
These Terms constitute a binding and enforceable legal contract between CookEzee Services LLP, a limited liability partnership incorporated under the Limited Liability Partnership Act, 2008, having its registered office at Ground Floor, Plot 120/140, 132A, Akhshar Building, Bhuleshwar Road, Bhagatwadi, Kalbadevi, Mumbai - 400002 ("CookEzee", "we", "us", "our", or the "Company"), and You, a User of the Services. The term "User" includes both (i) any person who books cooking services through the Platform (a "Customer"), and (ii) any independent third-party cook who offers cooking services through the Platform (a "Cook Partner" or "Cook"). Where a provision applies only to one category of User, this is stated expressly.
By using the Services, You represent and warrant that You have full legal capacity and authority to agree to, abide by, and bind Yourself to these Terms. If You represent any other person or entity, You confirm and represent that You have the necessary power and authority to bind such person or entity to these Terms.
By accessing, downloading, installing, registering on, or using the Services, You agree that You have read, understood, and are bound by these Terms, as amended from time to time, and that You will comply with the requirements set forth herein. These Terms expressly supersede any prior oral or written agreements between You and Us. If You do not agree to these Terms, or are not willing to comply with the requirements set forth herein, You must not access or use the Services.
You must be at least 18 (eighteen) years of age and competent to contract under the Indian Contract Act, 1872 to use the Services.
The Platform is intended for use only within the territory of India. You agree that in the event You access or use the Services from a legal jurisdiction other than the territory of India, You will be deemed to have accepted the Terms applicable to that jurisdiction (if any), and You will be solely responsible for compliance with all local laws.
2. DEFINITIONS
For the purposes of these Terms, capitalised terms have the meanings set out below or as defined elsewhere in these Terms:
- "Account" means the user account created by a User on the Platform.
- "Booking" means a request raised by a Customer through the Platform for Cooking Services, whether Instant, Scheduled, or Monthly.
- "Cooking Services" has the meaning set out in Clause 3.
- "Customer" means a person who books or seeks to book Cooking Services through the Platform.
- "Cook" / "Cook Partner" means an independent third-party service provider onboarded on the Platform to render Cooking Services to Customers.
- "Charges" means amounts payable by a Customer in respect of a Booking, including service charges payable to the Cook, Platform fees, convenience fees, surge fees, and applicable taxes.
- "Platform" has the meaning set out in Clause 1.
- "Services" has the meaning set out in Clause 1.
- "User Content" has the meaning set out in Clause 13.
3. NATURE OF SERVICES, CookEzee IS A TECHNOLOGY INTERMEDIARY
3.1 The Services include the provision of the Platform that enables a Customer to discover, arrange, schedule, and pay for cooking services rendered by independent third-party Cook Partners ("Cooking Services"). As part of the Services, CookEzee only facilitates: (i) Customers connecting with Cook Partners onboarded on the Platform; (ii) the booking, confirmation, and lifecycle management of Cooking Services; and (iii) the collection of payments from Customers as a limited collection agent on behalf of Cook Partners, and the transfer of such payments (net of applicable Platform fees and deductions) to Cook Partners.
3.2 "Cooking Services" rendered by Cook Partners may include, without limitation:
- preparation of meals (breakfast, lunch, dinner, snacks) using ingredients, utensils, cookware, and kitchen infrastructure provided by the Customer at the Customer's premises;
- preparation of region-specific, dietary-specific, or occasion-specific cuisine as agreed between the Customer and the Cook Partner at the time of Booking;
- basic kitchen cleaning incidental to the preparation of meals (such as wiping the stove and counter used during preparation, and washing utensils used during preparation), to the extent agreed between the Customer and the Cook Partner; and
- any other cooking-related service that may be listed on the Platform from time to time and which a Cook Partner is willing and able to provide.
3.3 The Services offered by the Company do NOT include the Cooking Services. CookEzee does not itself prepare food, source ingredients, or render Cooking Services. Cook Partners are solely liable and responsible for the Cooking Services they offer or otherwise provide through the Platform. CookEzee and its affiliates do not employ Cook Partners. Cook Partners are not agents, contractors, partners, joint-venturers, or franchisees of CookEzee or its affiliates. Cook Partners have no authority to bind or represent CookEzee in any manner.
3.4 CookEzee is an "intermediary" within the meaning of Section 2(1)(w) of the Information Technology Act, 2000 and the rules made thereunder. The role of CookEzee is limited to providing the Platform and ancillary technology services. CookEzee does not exercise editorial control over the Cooking Services and does not warrant the quality, suitability, hygiene, safety, taste, nutritional value, or fitness for any particular purpose of the meals prepared by Cook Partners.
3.5 The Platform is for Your personal, non-commercial use only, unless otherwise agreed in writing. The Cooking Services displayed on the Platform are dependent on the availability of Cook Partners at the time of the Booking.
3.6 CookEzee is continuously evolving to enhance the User experience. You acknowledge and agree that the nature and scope of Services may be subject to changes, updates, or modifications from time to time. CookEzee reserves the right to modify, suspend, cancel, or discontinue any or all of its Services, features, or content at any time, with or without prior notice. Such modifications may include, but are not limited to, changes in service offerings, pricing, policies, or Platform functionalities. Your continued use of the Platform following any such changes shall constitute Your acceptance of the modified Terms. CookEzee shall not be liable for any disruption, modification, or discontinuation of any Services or features, whether temporary or permanent, and does not guarantee that the Services will be available to Users at all times.
4. COMMUNICATIONS
A key part of the Services is CookEzee's ability to send You communications via SMS, voice call, electronic mail, push notification, and WhatsApp message, including in connection with Your Bookings, Your use of the Services, OTP-based authentication, payment confirmations, and as part of CookEzee's promotional and marketing strategies. While You may opt out of promotional communications by writing to Us at support@cookezee.com, You acknowledge and agree that:
(a) You cannot opt out of transactional and service-related communications without ceasing to use the Services; and
(b) Opting out of promotional communications may impact CookEzee's ability to provide the Services (or any part of them) to You.
5. ACCOUNT REGISTRATION AND USER OBLIGATIONS
5.1 Registration. To access and use the Services, You must register and create an Account on the Platform by providing accurate, complete, and up-to-date information, including (without limitation) Your name, mobile number, email address, residential / service address, profile photograph, and, in the case of Cook Partners, the additional KYC, biographical, and verification information set out in Clause 19.
5.2 Verification. CookEzee reserves the right to verify the information provided and to approve, reject, suspend, or cancel any Account registration at its sole discretion. CookEzee may at any time require You to furnish identification proof (including Aadhaar, PAN, or other government-issued identification) to verify Your identity. A failure to comply with this requirement may result in Your inability to use the Services.
5.3 Confidentiality of Credentials. You are solely responsible for maintaining the confidentiality of Your Account credentials (including any OTP, password, or biometric authentication) and for all activities conducted through Your Account, whether or not authorised by You. CookEzee shall not be liable for any loss, claim, or damage arising from unauthorised access to or use of Your Account due to Your failure to secure Your Account or Your device.
5.4 Accuracy of Information. You warrant that all information furnished by You is, and shall remain, accurate, true, and complete. You agree to promptly update Your details on the Platform, or by writing to support@cookezee.com, in the event of any change. If any information provided is found to be false, incomplete, or outdated, CookEzee may suspend or terminate Your Account without prior notice.
5.5 Activities Through Your Number. You are liable and accountable for all activities that take place through Your mobile or contact number, including activities performed by persons other than You. CookEzee shall not be liable for any unauthorised access to or use of Your mobile or contact number.
5.6 Consent to Receive Communications. You agree to receive communications from Us regarding: (i) requests for payments and payment confirmations; (ii) information about CookEzee and the Services; (iii) promotional offers and services from Us and Our third-party partners; (iv) Booking status and Cook Partner allocation; and (v) any other matter in relation to the Services.
5.7 Safety, Emergency, and Prohibited Items. The safety of both Customers and Cook Partners is paramount. Either party may decline to begin, or may immediately discontinue, a Booking, and may leave or ask the other to leave, if they reasonably feel unsafe, and may contact the police or emergency services (dial 112) where appropriate. No person shall bring, brandish, or use any weapon or dangerous article in connection with a Booking; kitchen knives and equipment shall be used solely for the preparation of food. Any safety incident shall be reported to CookEzee at support@cookezee.com within 24 (twenty-four) hours.
5.8 Recording and Surveillance. A Customer shall inform the Cook Partner in advance of any closed-circuit television (CCTV) or recording device that is active in any area in which the Cook Partner will work. Neither party shall covertly photograph, film, audio-record, or livestream the other party, their household, or their premises, or capture any private area or act, such conduct being an offence (including voyeurism under Section 77 of the Bharatiya Nyaya Sanhita, 2023). Passive home-security cameras installed in common areas are permitted provided their presence is disclosed.
6. CONSENT TO USE DATA
6.1 You agree that CookEzee may collect, use, store, process, and transfer Your data shared with Us at the time of registration and during Your use of the Platform, in accordance with Our Privacy Policy available at https://cookezee.com/privacy-policy.
6.2 You hereby consent to CookEzee sharing Your information with its affiliates, group entities, payment processors, KYC service providers, cloud infrastructure providers, communication service providers (SMS, WhatsApp, email gateway), customer-support tools, and other third-party service providers strictly for the purposes of providing and improving the Services.
6.3 CookEzee may use information and data pertaining to Your use of the Services for the provision of the Services, analytics, machine-learning model improvement, fraud prevention, trend identification, statistics, the design of beneficial schemes and new offers, and overall experience enhancement.
6.4 Subject to applicable laws, CookEzee may be required by law enforcement agencies, courts, or government bodies to disclose data in relation to You in connection with criminal, civil, or regulatory proceedings. You understand and agree that in such instances CookEzee shall have the right to share such data with the relevant agencies or bodies without notice to You.
6.5 Location Data. CookEzee may collect and use location-based information from Users through GPS, network triangulation, IP-based geolocation, or other technologies when You access the Platform via a mobile device or computer. Such information is used to discover nearby Cook Partners, calculate fares, provide accurate ETAs, prevent fraud, and otherwise optimise the Services. If You do not share location data, certain features of the Platform may not function and CookEzee may not be able to deliver the Services in full.
PART A, TERMS APPLICABLE TO CUSTOMERS
The provisions of this Part A apply specifically to Users who book or seek to book Cooking Services through the Platform.
7. BOOKINGS
7.1 Types of Bookings. The Platform permits a Customer to request Cooking Services in the following formats (each subject to availability of Cook Partners):
(a) Instant Booking, an on-demand request for a Cook Partner to render Cooking Services at the earliest available time, subject to a Cook Partner accepting the Booking within the matching window.
(b) Scheduled Booking, a request for a Cook Partner to render Cooking Services on a future date and time selected by the Customer, subject to availability up to such number of days in advance as may be permitted on the Platform from time to time.
(c) Monthly Booking / Subscription, a recurring engagement under which a Cook Partner renders Cooking Services to the Customer at specified visit frequencies over a calendar month, subject to additional terms specified on the Platform.
7.2 Confirmation. Once You place a Booking request, CookEzee shall, on a best-effort basis and subject to the availability of Cook Partners, allocate a Cook Partner and provide a booking confirmation on the Platform along with the details of the Cook Partner (the "Confirmation"). Confirmation may also be sent via SMS, email, or push notification. You shall be required to make payment in accordance with Clause 9 or as indicated on the Platform to confirm the Booking.
7.3 No Confirmation = No Booking. A Booking request that is not Confirmed by allocation of a Cook Partner does not constitute a binding Booking, and no Charges shall be levied in respect of it. In the unlikely event We are unable to locate a Cook Partner for the requested slot, We will contact You to find an alternative time, reschedule the Booking, or cancel it.
7.4 Substitution. In case of the unavailability of, or cancellation by, an allocated Cook Partner, We shall offer You a substitute Cook Partner from among Our registered Cook Partners on a best-efforts basis. If no Cook Partner is available during the selected slot, We will contact You to reschedule or cancel the Booking.
7.5 Duration. The Booking shall remain in effect for the duration selected by the Customer at the time of Booking.
7.6 Extension. You may request an extension of the Cooking Services slot at any time before the expiry of the booked period, in increments and up to a maximum total duration as permitted on the Platform from time to time, subject to: (i) the availability of the Cook Partner to continue providing the Cooking Services; and (ii) compliance with applicable Platform-level caps. The Company does not guarantee the availability of an extension, nor does it assume any responsibility or liability for the Cook Partner's refusal, inability, or failure to extend the Booking. The Company may facilitate extension requests on a best-effort basis through the Platform but shall not be liable for any losses, damages, or claims arising from the unavailability or failure of an extension, whether due to technical issues, Cook Partner availability, or any other reason.
7.7 Re-matching. If a Cook Partner does not accept a Booking request within the applicable matching window, or if the matching attempt expires without a Confirmation, CookEzee may automatically attempt to re-match the request to other Cook Partners. CookEzee is not obliged to keep the matching process active indefinitely and may cancel the Booking request after a reasonable period of unsuccessful matching attempts, in which case any pre-authorised Charges shall be released or refunded in accordance with the Cancellation & Refund Policy.
8. CUSTOMER OBLIGATIONS DURING COOKING SERVICES
8.1 Provision of Ingredients, Equipment, and Premises. Unless otherwise expressly agreed on the Platform at the time of Booking:
(a) the Customer shall provide, at the Customer's own cost, all raw ingredients, groceries, condiments, spices, and consumables required for the preparation of the meals;
(b) the Customer shall provide a safe, clean, well-ventilated, and adequately lit kitchen with functional cooking appliances (gas stove or induction, exhaust, water supply), utensils, cookware, knives, chopping board, and storage containers in clean and working condition;
(c) the Customer shall ensure that gas connections, electrical points, and water lines are safe and in compliance with applicable safety standards; and
(d) the Customer shall provide reasonable access to drinking water and a washroom.
8.2 Disclosure of Allergies, Dietary Restrictions, and Special Requirements. It is the Customer's sole responsibility to clearly and accurately disclose to the Cook Partner, in advance and in writing on the Platform's chat or notes facility (or verbally at the start of the Booking), all food allergies, intolerances, dietary restrictions (including vegetarian / Jain / vegan / halal / kosher / no-onion-no-garlic), religious restrictions, medical conditions, and any other special dietary or hygiene requirements applicable to any person who will consume the food prepared. The Customer acknowledges that the Cook Partner relies on the information provided by the Customer and that CookEzee has no means to independently verify the accuracy or completeness of such information.
8.3 Inspection of Ingredients. Cook Partners are not nutritionists, dietitians, or medical professionals and do not warrant the freshness, quality, expiry, or safety of ingredients supplied by the Customer. The Customer is solely responsible for ensuring that ingredients supplied for cooking are fresh, unexpired, and fit for consumption. The Cook Partner may, at the Cook Partner's discretion, refuse to use any ingredient that appears to be spoiled, contaminated, expired, or otherwise unsuitable.
8.4 No Medical or Dietary Advice. Neither CookEzee nor any Cook Partner provides medical, nutritional, or dietary advice. Nothing in the Services should be construed as a substitute for professional medical or dietary advice.
8.5 Treatment of Cook Partners. You shall treat all Cook Partners with courtesy and respect, and provide them with a safe, clean, and appropriate location to perform the Cooking Services. Cook Partners shall be entitled to refuse to perform or to terminate the Cooking Services if: (i) You have not provided a safe, clean, and appropriate kitchen and infrastructure; (ii) You have not provided the necessary ingredients or working equipment; or (iii) You behave towards them in a manner that is discourteous, disrespectful, abusive, harassing, threatening, or otherwise inappropriate.
8.6 Anti-Discrimination. CookEzee prohibits discrimination against Cook Partners on the basis of race, religion, caste, national origin, disability, sexual orientation, sex, marital status, gender identity, age, or any other characteristic protected under applicable law. Such discrimination includes any refusal to accept Cooking Services on any of these grounds.
8.7 Reporting. If a Cook Partner behaves in a manner that is discourteous, disrespectful, abusive, inappropriate, or in violation of law, You shall report such incident to support@cookezee.com at the earliest, and in any event within 24 (twenty-four) hours of such incident.
8.8 Direct Hiring Prohibited. You shall not directly or indirectly, in any capacity, solicit, attempt to influence, engage, approach, or accept or encourage the solicitation by a Cook Partner from whom You have availed Cooking Services on the Platform to either terminate their registration on the Platform or to provide Cooking Services (or similar services) to You independently, outside of the Platform. You agree this restriction is reasonable and necessary for the protection of CookEzee's legitimate business interests and the privacy and security of Cook Partners. Breach of this clause may result in immediate termination of Your Account, ineligibility for future Services, and recovery of damages, including (without limitation) compensation equivalent to the commission CookEzee would reasonably have earned on bookings circumvented through such off-Platform engagement.
8.9 Zero Tolerance for Harassment or Violence Against Cook Partners. CookEzee operates a strict zero-tolerance policy for any form of harassment, abuse, or violence against Cook Partners. You shall not, under any circumstances: (a) verbally, physically, or sexually harass, abuse, threaten, intimidate, stalk, or assault a Cook Partner; (b) subject a Cook Partner to any unwelcome physical contact, sexual advance, or sexually coloured remark or gesture; (c) unlawfully confine or restrain a Cook Partner or prevent them from leaving the premises; or (d) engage in any other conduct towards a Cook Partner that is unlawful under the laws of India. You acknowledge that such conduct constitutes a criminal offence under applicable Indian law, including (without limitation) Sections 74 (assault or criminal force to a woman with intent to outrage her modesty), 75 (sexual harassment), 78 (stalking), 115 (voluntarily causing hurt), 127 (wrongful confinement), and 351 (criminal intimidation) of the Bharatiya Nyaya Sanhita, 2023, and the Sexual Harassment of Women at Workplace (Prevention, Prohibition and Redressal) Act, 2013 where applicable, and may attract criminal prosecution, including imprisonment and / or fine, in addition to civil liability. On becoming aware of any such conduct, CookEzee may, without prior notice, immediately and permanently suspend or terminate Your Account, and shall be entitled to report the incident to, and fully cooperate with, the police and other law enforcement authorities, including by sharing Your account, identity, location, and booking information. You shall be solely and personally liable for all consequences of such conduct, and CookEzee shall bear no liability whatsoever in respect thereof.
8.10 Lawful and Cooking-Related Tasks Only. You shall request only lawful services relating to the preparation of food. You shall not require, induce, or pressurise a Cook Partner to perform any task that is illegal, unsafe, hazardous, degrading, or unrelated to cooking (including heavy cleaning, personal or domestic servitude, child or elder care, or errands outside the premises), nor to work alone in conditions that are unsafe. A Cook Partner is entitled to refuse any such request without penalty.
9. PRICING, FEES, AND PAYMENT
9.1 Right to Charge. CookEzee reserves the right to charge You for the Services and any facility opted by You via the Platform from time to time.
9.2 Components of Charges. Charges payable by a Customer in respect of Cooking Services may include:
(a) Cook Service Charges, amounts payable to the Cook Partner for rendering the Cooking Services. CookEzee collects these amounts as a limited collection agent on behalf of the Cook Partner.
(b) Platform / Technology Fee, payable by the Customer to the Company for the facilitation of supply and the operation of the Platform.
(c) Convenience Fee, payable at the Company's discretion for Services in remote locations or involving dedicated expertise.
(d) Surge Fee, levied by the Company to manage demand-supply imbalances during periods of peak demand.
(e) Taxes, applicable Goods and Services Tax (GST) and any other applicable taxes, duties, cess, or levies under prevailing law.
9.3 Notification of Charges. CookEzee shall notify You of the applicable Charges and payment methods at the time of Booking. By proceeding with the Booking, You acknowledge and accept the Charges.
9.4 Modes of Payment. Payment may be made through credit cards, debit cards, net banking, wallets, UPI, or any other payment method made available on the Platform. Cash-on-completion shall be available only at the sole discretion of the Company, including (without limitation) for new-customer onboarding, in newly launched areas, or in such other scenarios as the Company may determine. The Company reserves the right to modify, restrict, or withdraw any mode of payment at any time.
9.5 Limited Collection Agent. For the avoidance of doubt, the Cook Service Charges are payable to the Cook Partner, and CookEzee acts as a limited collection agent on behalf of such Cook Partner to collect and transfer the amounts due to them, less any applicable Platform fees, taxes deductible at source, or other lawful deductions.
9.6 Amendment of Charges. CookEzee reserves the right to amend the Charges and Fees at any time at its sole discretion (including in cases where the duration of the Services is extended, a special discount is applied, or a refund is issued). A change in Charges shall not impact any Booking that has been Confirmed prior to publication of the revised Charges on the Platform.
9.7 Finality of Charges; Refunds. Charges and Fees paid are final and non-refundable, unless otherwise determined by CookEzee or required by applicable law. All decisions with respect to cancellations and refunds shall be at the sole discretion of CookEzee and in accordance with CookEzee's internal Cancellation & Refund Policy, and the same shall be final and binding.
9.8 Surge Pricing. You acknowledge and agree that Charges and Fees applicable in certain geographical areas may increase substantially during times of high demand. CookEzee will use reasonable efforts to inform You of any surge fees before You confirm the Booking; however, You will remain responsible for the Charges incurred under Your Account regardless of Your awareness of such Charges.
9.9 Payment Processors. CookEzee uses third-party payment processors (the "Payment Processors", including without limitation Razorpay, Cashfree, or such other processor as CookEzee may engage from time to time) to process payments. Processing is subject to the terms and policies of the relevant Payment Processor in addition to these Terms. CookEzee shall not be liable for any error, delay, or failure of the Payment Processor. In the event of an unsuccessful payment, refunds shall be governed by the Payment Processor's terms. If You are redirected to a third-party payment processor, You may be subject to that third party's terms, conditions, and privacy policy.
9.10 Cancellations by Customer. You may cancel a Booking at any time prior to the Cook Partner's arrival, in which case You may be charged a cancellation fee as set out in the Cancellation & Refund Policy. CookEzee reserves the right to charge and / or recover applicable taxes in respect of any cancellation fee.
9.11 Cancellations by CookEzee. CookEzee reserves the right to cancel a Booking in the following circumstances, subject to the Cancellation & Refund Policy: (a) Booking without an address or with an incorrect or undeliverable address; (b) the Booking is reasonably believed to be made by a competitor, its affiliate, or for purposes of disrupting the Platform; (c) the Customer requests cancellation by telephone or in-app; (d) the Customer is not reachable within a reasonable period (typically 15 (fifteen) minutes) of the slot, or the Cook Partner has waited at the Customer's premises for such reasonable period without response; (e) CookEzee is unable to service the Booking due to supply shortages or the unavailability of a Cook Partner, in which case CookEzee may offer a refund or reschedule at its discretion; (f) the transaction cannot be completed due to reasons outside CookEzee's control (including failure of payment); or (g) any breach of these Terms.
9.12 GST Input Tax Credit. If You are registered under the Goods and Services Tax laws in India and wish to claim input tax credit, You must add Your valid and accurate GST registration details to Your Account profile prior to placing any Booking. Tax invoices shall be issued on the basis of the GST details available in the profile at the time of Booking, and no retrospective changes to invoices will be entertained. CookEzee shall not be liable for any loss of input tax credit arising due to non-updation, delay, or inaccuracy in the GST details provided. You further declare that the GSTIN provided is true and correct, and indemnify CookEzee against any liability or claim arising from incorrect GST details.
9.13 Tipping. CookEzee does not designate any portion of the Charges as a tip or gratuity. Any representation that tipping is "voluntary", "not required", or "included" in the Charges is not intended to suggest that CookEzee makes any additional payment to Cook Partners. You are free, but not obliged, to provide additional gratuity to a Cook Partner. Any such gratuity is voluntary.
PART B, TERMS APPLICABLE TO COOK PARTNERS
The provisions of this Part B apply specifically to Cook Partners. By registering as a Cook Partner on the Platform, You expressly accept the provisions of this Part B in addition to the general provisions of these Terms.
10. COOK PARTNER ELIGIBILITY AND ONBOARDING
10.1 Eligibility. To register as a Cook Partner, You must (i) be a natural person of at least 18 (eighteen) years of age; (ii) be a citizen of India or otherwise legally authorised to render services for remuneration within India; (iii) have the skills, experience, fitness, and hygiene standards reasonably expected of a domestic cook; and (iv) not be subject to any disqualification, prohibition, or restraining order that would prevent You from rendering Cooking Services.
10.2 KYC and Verification Documents. You shall submit, and consent to CookEzee verifying, the following documents and information (in addition to such other information as CookEzee may require):
(a) Aadhaar card (front and back, with consent to e-KYC if required);
(b) PAN card (optional but recommended for payouts);
(c) a recent passport-sized photograph or selfie;
(d) bank account proof (passbook front page or cancelled cheque) for payout purposes;
(e) any cooking-related certifications, training certificates, or food handler / hygiene certifications (if any);
(f) address proof; and
(g) such background-verification consent as CookEzee may require.
10.3 Verification at CookEzee's Discretion. CookEzee may, at its sole discretion, engage one or more third-party verification agencies to conduct identity, address, criminal-record, or reference checks. CookEzee does not, however, conduct exhaustive background investigations and makes no representation that any Cook Partner is free from past criminal conduct, communicable disease, or other risk. CookEzee may approve, reject, suspend, or revoke Your registration as a Cook Partner at its sole discretion, at any time, with or without reason.
10.4 Accuracy. You represent and warrant that all information and documents submitted are genuine, accurate, current, and complete. Any misrepresentation, forgery, or omission shall entitle CookEzee to terminate Your Account immediately, withhold payouts pending investigation, report You to law enforcement, and recover damages.
11. INDEPENDENT CONTRACTOR RELATIONSHIP
11.1 Independent Contractor. You are engaged on the Platform as an independent contractor. Nothing in these Terms shall create or be construed to create a relationship of employer-employee, principal-agent, master-servant, partnership, joint venture, or franchise between You and CookEzee. You shall not be entitled to any employment benefits, including (without limitation) provident fund, gratuity, leave, bonus, ESI, or workmen's compensation, from CookEzee.
11.2 Control and Method of Work. You have sole discretion over (i) whether, when, and for how long to make Yourself available on the Platform; (ii) the geographical area in which You wish to make Yourself available; (iii) whether to accept or decline any specific Booking offered to You; and (iv) the manner and method in which You perform the Cooking Services, subject to the reasonable hygiene, safety, and quality standards published on the Platform.
11.3 Tax and Compliance Obligations. You are solely responsible for declaring and discharging all income tax, GST (if applicable), professional tax, and other statutory obligations arising from Your earnings on the Platform. CookEzee may deduct tax at source where required by applicable law and shall provide You with applicable certificates / Form 16A.
11.4 No Authority to Bind. You shall not represent Yourself as an employee, agent, or representative of CookEzee, shall not bind CookEzee to any contract or obligation, and shall not make any warranty or representation on behalf of CookEzee.
11.5 Gig-Worker Welfare and Social Security. CookEzee shall comply with applicable social-security and gig-worker welfare legislation, including (as and where applicable) the Code on Social Security, 2020 and the Karnataka Platform-based Gig Workers (Social Security and Welfare) Act, 2024, together with any registration, contribution, or welfare-fee obligations imposed on aggregators thereunder. Nothing in this Clause alters the independent-contractor relationship described in this Clause 11, and any welfare benefit extended to You shall not be construed as creating a relationship of employment.
11.6 Voluntary Engagement; No Forced or Child Labour. You confirm that You provide the Cooking Services voluntarily and of Your own free will, that You are at least 18 (eighteen) years of age, and that You are free to make Yourself unavailable or to leave the Platform at any time. CookEzee has zero tolerance for, and strictly prohibits, any forced labour, bonded labour, or human trafficking (in line with the Bonded Labour System (Abolition) Act, 1976) and any child labour (in line with the Child Labour (Prohibition and Regulation) Act, 1986).
12. COOK PARTNER OBLIGATIONS
12.1 Quality, Hygiene, and Conduct. You shall:
(a) maintain a high standard of personal hygiene (clean clothing, washed hands, trimmed nails, hair tied back, no consumption of tobacco / alcohol while on a Booking);
(b) render the Cooking Services with reasonable care, skill, and diligence, in accordance with applicable food safety norms, the customer's reasonable instructions, and the quality standards published on the Platform;
(c) wear any uniform, apron, hair cover, or identification badge provided by CookEzee, if and when issued;
(d) be punctual, courteous, and respectful at all times;
(e) not consume any food, ingredients, or beverages at the Customer's premises except as expressly permitted by the Customer;
(f) not remove, take, or misappropriate any item belonging to the Customer;
(g) not use any equipment, ingredient, or appliance at the Customer's premises for any purpose other than the Cooking Services Booked;
(h) report any unsafe condition or inappropriate Customer behaviour to CookEzee promptly; and
(i) comply with all applicable laws, including (without limitation) food safety regulations, health regulations, traffic laws, and tax laws.
12.2 Equipment. Save where the Platform expressly indicates otherwise, the Customer shall provide all ingredients, utensils, cookware, and appliances required for the Cooking Services. You shall use such equipment with reasonable care and shall not be liable for fair wear and tear, but shall be liable for damage caused by Your gross negligence or wilful misconduct (subject to Clause 23).
12.3 No Solicitation Off-Platform. You shall not directly or indirectly solicit, encourage, or accept any engagement to provide Cooking Services or similar services to a Customer outside of the Platform during the term of Your engagement on the Platform and for a period of 12 (twelve) months following the termination of such engagement, in respect of any Customer that You first encountered through the Platform. You agree that this restriction is reasonable and necessary for the protection of CookEzee's legitimate business interests. Breach may result in immediate termination of Your Account, forfeiture of pending payouts, recovery of damages equivalent to the commission CookEzee would reasonably have earned, and other legal remedies.
12.4 Anti-Discrimination. You shall not discriminate against any Customer on the basis of race, religion, caste, national origin, disability, sexual orientation, sex, marital status, gender identity, age, or any other characteristic protected under applicable law, including by refusing to accept Bookings on any such ground.
12.5 Confidentiality. You shall keep confidential all information about the Customer, the Customer's premises, the Customer's household, and any incident witnessed at the Customer's premises, except where disclosure is required by law or to CookEzee for purposes of investigating a complaint.
12.6 Health and Safety. You shall not render Cooking Services if You are suffering from any communicable disease, food-borne illness, open wound on the hands, or any other condition that may compromise the safety of the meals prepared. You shall notify CookEzee immediately if You are diagnosed with any such condition.
12.7 Zero Tolerance for Misconduct Towards Customers. CookEzee operates a strict zero-tolerance policy for any misconduct by a Cook Partner against a Customer, any member of the Customer's household, any guest, or their property. You shall not, under any circumstances: (a) commit theft, misappropriation, or wilful damage of any property at the Customer's premises; (b) verbally, physically, or sexually harass, abuse, threaten, intimidate, or assault any person at the premises; (c) attend or perform a Booking under the influence of alcohol or any intoxicant; (d) photograph, record, or disclose the Customer, any member of the household, or the premises without consent; or (e) engage in any other conduct that is unlawful under the laws of India. You acknowledge that such conduct constitutes a criminal offence under applicable Indian law, including (without limitation) Sections 303 (theft), 115 (voluntarily causing hurt), 351 (criminal intimidation), and 74 and 75 (offences against women) of the Bharatiya Nyaya Sanhita, 2023, and may attract criminal prosecution, including imprisonment and / or fine, in addition to civil liability. On becoming aware of any such conduct, CookEzee may, without prior notice, immediately and permanently deactivate or terminate Your Account, withhold any pending payouts pending investigation, and shall be entitled to report the incident to, and fully cooperate with, the police and other law enforcement authorities. You shall be solely and personally liable for all consequences of such conduct.
12.8 Food Safety and Hygiene Compliance. You shall prepare all meals in compliance with the Food Safety and Standards Act, 2006 and the standards and hygiene norms prescribed by the Food Safety and Standards Authority of India (FSSAI), including safe handling, storage, and cooking practices. You shall maintain personal and kitchen hygiene, avoid cross-contamination, and shall not knowingly use ingredients that are spoiled, contaminated, or unfit for consumption. You shall promptly inform the Customer and CookEzee of any suspected contamination or food-safety concern.
13. ACCEPTING BOOKINGS, CANCELLATIONS, AND SUSPENSION
13.1 Acceptance. When a Booking is offered to You on the Platform, You may accept or decline it within the applicable acceptance window. Acceptance is on a first-come-first-served basis where the Booking is offered to multiple Cook Partners.
13.2 Cancellation by Cook. Once You have accepted a Booking, You shall make all reasonable efforts to render the Cooking Services. You may cancel an accepted Booking only in exceptional circumstances (including illness, family emergency, or vehicle / safety issues), by notifying the Customer and CookEzee through the Platform.
13.3 Suspension for Excessive Cancellations. CookEzee monitors cancellation behaviour to protect the Customer experience. If You cancel accepted Bookings in excess of the cancellation threshold published in the Cook Partner Handbook within any rolling 30 (thirty)-day period, or if Your overall cancellation count crosses such threshold as CookEzee may publish from time to time, CookEzee may, at its sole discretion, suspend Your Account, set You as unavailable for new Bookings, withhold any pending payouts pending investigation, or terminate Your Account. Suspension may be lifted only by CookEzee in writing. The current cancellation thresholds and consequences are published in the Cook Partner Handbook on the Platform and may be amended from time to time.
13.4 No-Show / Late Arrival. A failure to arrive at the Customer's premises within the time window communicated on the Platform, without prior intimation to the Customer and CookEzee, shall be treated as a cancellation for the purposes of Clause 13.3.
14. PAYOUTS AND WITHDRAWALS
14.1 Earnings. Following the successful completion of each Booking, the Cook Service Charges (less any applicable Platform commission, taxes deductible at source, refunds processed on behalf of the Customer, chargebacks, and other lawful deductions) shall be credited to Your in-app earnings wallet on the Platform (the "Earnings Wallet").
14.2 Withdrawals. You may request withdrawal of available balance in Your Earnings Wallet to Your verified bank account, subject to such minimum withdrawal threshold, frequency cap, and processing timelines as CookEzee may publish from time to time. Withdrawals are processed through Our banking and payout partners as CookEzee may engage from time to time. Processing is subject to the partner's terms and operational windows.
14.3 Hold and Set-Off. CookEzee reserves the right to hold, freeze, or set off any amount in Your Earnings Wallet against (i) refunds payable to Customers in respect of disputed or cancelled Bookings; (ii) damages caused by You during a Booking; (iii) amounts owed by You to CookEzee under these Terms; (iv) any amount required to be deducted under applicable law; or (v) suspected fraud or breach of these Terms, pending investigation.
14.4 Chargebacks. If a Customer disputes a transaction and the Payment Processor processes a chargeback, the corresponding amount may be debited from Your Earnings Wallet. You shall co-operate fully in resolving any chargeback dispute.
14.5 Tax Deduction at Source. CookEzee may deduct tax at source (including TDS under Section 194-O of the Income-tax Act, 1961, where applicable) and shall furnish You with the corresponding certificate.
14.6 Erroneous Credits. If any amount is credited to Your Earnings Wallet in error, CookEzee may reverse such credit at any time. You shall not be entitled to retain or withdraw any amount credited in error.
PART C, COMMON PROVISIONS
The provisions of this Part C apply to all Users, whether Customers or Cook Partners.
15. USER CONTENT
15.1 The Platform may contain interactive features that allow Users to transmit or submit reviews, ratings, suggestions, feedback, photographs, ideas, or other content on or through the Platform ("User Content").
15.2 Mutual Rating System. As part of the effective provision of the Services and for quality control, CookEzee may request reviews from Customers about Cook Partners, and may permit Cook Partners to provide reviews about Customers. You must not knowingly provide false, inaccurate, or misleading information in any review. Reviews will be used by Us for quality control and to determine whether Customers and Cook Partners are appropriate Users of the Platform. If We determine in Our sole discretion that You are not an appropriate User, We reserve the right to cancel Your registration and remove You from Our Platform.
15.3 Licence to CookEzee. You grant Us a non-exclusive, worldwide, perpetual, irrevocable, transferable, sub-licensable, and royalty-free licence to (i) use, publish, display, store, host, transfer, process, communicate, distribute, make available, modify, adapt, translate, and create derivative works of the User Content, for the functioning of, and in connection with, the Services; and (ii) use User Content for the limited purposes of advertising and promoting the Services, or furnishing evidence before a court or authority of competent jurisdiction under applicable laws.
15.4 In connection with the licences granted under this clause, You waive any claims arising out of moral rights or similar rights relating to the User Content.
15.5 CookEzee may, without notice to You, remove or restrict access to User Content that, in its sole discretion, violates these Terms.
15.6 Prohibited User Content. User Content shall not (a) belong to any other person to which the User does not have any right; (b) be obscene, pornographic, paedophilic, invasive of another's privacy (including bodily privacy), insulting or harassing on the basis of gender, racially or ethnically objectionable, relating to or encouraging money laundering or gambling, or promoting enmity between different groups; (c) infringe any proprietary rights, including copyrights, patents, trademarks, or trade secrets; (d) contain viruses, trojan horses, worms, time bombs, keystroke loggers, spyware, adware, or any other harmful computer code; (e) be harmful to a child; (f) impersonate any other person; (g) threaten the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order; (h) deceive or mislead the addressee about the origin of the message or communicate any patently false or misleading information; or (i) violate any applicable law.
16. OFFERS, DISCOUNTS, AND PROMOTIONS
16.1 The provision of trials, discounts, promo codes, referral credits, or any other offer ("Offers") may be introduced by the Company at its sole discretion on such terms as the Company may communicate. You shall be limited to using an Offer once per premises (determined by the address) unless specifically stated otherwise. You cannot use multiple Offers together.
16.2 The trial, if any, grants the Customer access to selected Services. The features available during the trial may be limited compared to the paid version.
16.3 The Company retains the right to communicate with Users regarding Offers and subscription plans via call, SMS, email, or push notification.
16.4 It is Your responsibility to provide accurate and up-to-date information as may be required to avail an Offer.
16.5 The Company may collect and use data generated during the Offer period for analysis and improvement of the Services.
16.6 The Company reserves the right to terminate or modify any Offer at its discretion, without notice.
16.7 No Cash Equivalence. Promo credits, referral credits, and trial benefits have no cash value, are non-transferable, and may expire as per their terms.
17. INTELLECTUAL PROPERTY
17.1 All rights, title, and interest in and to the Services, including the Platform, source code, designs, trademarks (including "CookEzee" and any associated logos), trade dress, copyrights, and any other intellectual property, are owned by or licensed to Us. Subject to compliance with these Terms, We grant You a non-exclusive, non-transferable, non-sub-licensable, revocable, and limited licence to use the Services in accordance with these Terms. Any rights not expressly granted herein are reserved by CookEzee or its licensors.
17.2 Feedback. We may request feedback (bug reports, suggestions, improvements) from You. We may freely use, copy, disclose, publish, display, distribute, and exploit such feedback without any payment of royalty, acknowledgement, prior consent, or any restriction arising out of Your intellectual property rights.
17.3 Except as expressly stated in these Terms, nothing in these Terms shall be construed as conferring any right in, or licence to, Our or any third party's intellectual property rights.
18. ACCEPTABLE USE, GENERAL PROHIBITIONS
You agree that You shall not, in connection with Your use of the Services:
(a) host, display, upload, modify, publish, transmit, store, update, or share any information that belongs to another person and to which You do not have any right;
(b) use the Services in any unlawful manner, for any fraudulent or malicious activities, or in any manner inconsistent with these Terms;
(c) copy, display, distribute, modify, publish, reproduce, store, transmit, post, translate, or create derivative works from the Services except as expressly permitted hereunder;
(d) transmit any data or send or upload any material that contains viruses, trojan horses, worms, time bombs, keystroke loggers, spyware, adware, or any other harmful programmes;
(e) use any robot, spider, scraper, or other automated device, or manual process, to monitor or copy the Services or any portion thereof, or to engage in the systematic retrieval of content from the Services;
(f) decompile, reverse engineer, or disassemble the Services, or attempt to derive the source code;
(g) impersonate any other person, including any Cook Partner, Customer, employee, or representative of CookEzee;
(h) link to, mirror, or frame any portion of the Services;
(i) attempt to gain unauthorised access to any portion or feature of the Services, any other systems or networks connected to the Services, any of Our servers, or the Platform, by hacking, password mining, or any other illegitimate means;
(j) interfere with or disrupt the Services or the servers or networks connected to the Services; or
(k) violate any applicable law.
19. THIRD-PARTY SERVICES
19.1 The Platform may include services, content, documents, and information owned by, licensed to, or otherwise made available by, a third party ("Third-Party Services"), including (without limitation) Google Maps, Firebase, payment gateways, KYC verification agencies, OTP / SMS providers, and WhatsApp Business APIs. Third-Party Services are the sole responsibility of the third party that provides them, and Your use of such Third-Party Services is at Your own risk.
19.2 We make no representations and exclude all warranties and liabilities arising out of or pertaining to Third-Party Services, including their accuracy or completeness. Your use of any Third-Party Service is governed by the terms and privacy policies of the relevant third party.
20. DISCLAIMERS AND WARRANTIES
20.1 As-Is. The Services are provided on an "as-is" and "as-available" basis without warranty of any kind, express, implied, statutory, or otherwise, including (without limitation) the implied warranties of title, non-infringement, merchantability, or fitness for a particular purpose. No advice or information, whether oral or written, obtained by You from Us shall create any warranty not expressly stated in these Terms.
20.2 Marketplace Only. You agree and acknowledge that CookEzee is merely a Platform that connects Customers with Cook Partners. CookEzee does not itself provide Cooking Services. CookEzee does not conduct exhaustive background verification of Cook Partners and shall not be liable in any manner for any obligation not expressly stated in these Terms. CookEzee is not liable or responsible for the fulfilment of any Booking, for the performance of the Cooking Services by any Cook Partner, or for any acts or omissions of Cook Partners during their provision of the Cooking Services, including (without limitation) any damage to property, injury, food spoilage, food poisoning, allergic reaction, theft, dishonesty, or breach of confidentiality. By booking Cooking Services through the Platform, You enter into a direct contractual relationship with the Cook Partner for the provision of those services, and CookEzee accepts no responsibility or liability, nor makes any warranty, representation, or guarantee in respect of the Cook Partner's performance under that contract.
20.3 Off-Platform Engagement at Own Risk. You agree and acknowledge that soliciting or receiving services from any Cook Partner independently is solely at Your own risk, and in such an event You waive any rights that You may have under these Terms.
20.4 No Guarantee of Quality. We do not guarantee or warrant, and We make no representation whatsoever regarding, the reliability, quality, taste, nutritional value, hygiene, suitability, or fitness for purpose of any Cook Partner or any Cooking Services rendered through the Platform.
20.5 Food Safety, Allergens, and Health. You expressly acknowledge that food preparation is inherently subject to risks of allergic reaction, cross-contamination, food-borne illness, and individual dietary sensitivity. The Customer is solely responsible for: (i) the quality, freshness, and safety of ingredients supplied; (ii) the cleanliness of the kitchen, utensils, and infrastructure; (iii) accurate and timely disclosure of all allergies, intolerances, dietary restrictions, and medical conditions; and (iv) ensuring that any meal prepared is suitable for the intended consumer. CookEzee shall not be liable for any allergic reaction, food poisoning, illness, injury, or adverse health outcome arising from the consumption of any meal prepared through a Booking, except to the extent such liability cannot be excluded under applicable law.
20.6 Pricing Errors. While CookEzee strives to provide accurate information about Cooking Services and Charges, pricing errors may occur from time to time. CookEzee reserves the right to correct such errors and to cancel any Booking made at an erroneously displayed price.
20.7 Complaints Framework. CookEzee will maintain a complaints management framework on behalf of Cook Partners in a reasonable manner and in accordance with applicable laws. To the fullest extent permissible by law, We, Our affiliates, and Our related parties disclaim all liability for any loss or damage arising out of, or due to: (a) Your use of, inability to use, or unavailability of the Services or the Cooking Services; (b) any defect, interruption, or delay in the operation or transmission of information to, from, or through the Services, communications failure, theft, destruction, or unauthorised access to Our records, programmes, services, servers, or other infrastructure; (c) the failure of the Services to remain operational for any period of time; and (d) the loss of any User Content or other data in connection with Your use of the Services.
20.8 You hereby accept full responsibility for any consequences arising from Your use of the Services and the Cooking Services, and expressly agree that We shall have no liability in this regard.
20.9 Consumer Rights Preserved. Nothing in these Terms shall exclude, restrict, or waive any right or remedy available to a Customer as a consumer under the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020, or any other mandatory provision of law. To the extent any provision of these Terms is inconsistent with such mandatory consumer rights, those rights shall prevail.
21. LIMITATION OF LIABILITY
21.1 In no event shall CookEzee, its partners, designated partners, officers, directors, employees, affiliates, contractors, agents, licensors, or suppliers, be liable to You for any direct, special, indirect, incidental, consequential, punitive, reliance, or exemplary damages, including (without limitation) lost business opportunities, lost revenues, loss of anticipated profits, loss of data, or any other pecuniary or non-pecuniary loss, even if CookEzee or an authorised representative has been advised of the possibility of such damages, arising out of or relating to (a) these Terms; (b) the Services or the Cooking Services; (c) Your use or inability to use the Services or the Cooking Services; or (d) any other interactions with another User of the Services.
21.2 Aggregate Cap. To the maximum extent permitted by law, Our aggregate liability to You in connection with these Terms shall be limited to the lower of (i) the amount of commission We have actually received in respect of the specific Booking giving rise to the claim, or (ii) INR 5,000 (Indian Rupees Five Thousand).
21.3 Nothing in these Terms shall exclude or limit any warranty implied by law that it would be unlawful to exclude or limit.
22. INDEMNITY
You shall indemnify, defend (at Our option), and hold harmless CookEzee, its partners, designated partners, affiliates, officers, employees, directors, agents, and representatives from and against any claim, demand, lawsuit, judicial proceeding, loss, liability, damage, and cost (including (without limitation) all damages, liabilities, settlements, and reasonable attorneys' fees) due to or arising out of: (a) Your access to or use of the Services or the Cooking Services; (b) Your violation of these Terms; (c) Your violation of any third-party right (including any intellectual property or privacy right); (d) any User Content You submit; (e) any breach of Your representations and warranties under these Terms; or (f) any violation of these Terms by any third party who uses Your Account.
The rights granted to a User under these Terms are not assignable or transferable, in whole or in part.
23. CUSTOMER PROPERTY AND COOK PARTNER LIABILITY
23.1 A Cook Partner shall exercise reasonable care in the use of any equipment, appliance, ingredient, or other property of the Customer at the Customer's premises.
23.2 In the event of damage to Customer property caused by a Cook Partner's gross negligence or wilful misconduct, the Customer may report the incident to support@cookezee.com within 24 (twenty-four) hours of the Booking. CookEzee will investigate in accordance with its internal claims policy and may, at its sole discretion, facilitate a reasonable resolution between the Customer and the Cook Partner. CookEzee shall not itself be liable for the damage. Any liability arising in respect of such damage shall be between the Cook Partner and the Customer.
23.3 Cook Partners are encouraged to maintain such insurance (including personal accident and third-party liability cover) as they deem appropriate. CookEzee may, at its discretion, facilitate access to such insurance, but does not warrant the availability, scope, or sufficiency of any insurance arrangement.
24. TERM AND TERMINATION
24.1 These Terms shall remain in effect unless terminated in accordance with this Clause 24. The Terms will continue to apply until terminated by either You or Us as set out below. If You object to the Terms or are dissatisfied with the Platform, You may (i) close Your Account on the Platform; and / or (ii) stop accessing the Platform.
24.2 We may restrict, deactivate, or terminate Your access to, or use of, the Services, or any portion thereof, (i) immediately and at any point at Our sole discretion, (A) if You violate or breach any of the obligations, responsibilities, or covenants under these Terms, (B) if You do not, or are likely not to, qualify under applicable law or the standards and policies of CookEzee or its affiliates to access and use the Services, or (C) if You violate or breach CookEzee's guidelines, (ii) upon 7 (seven) days' prior written notice to You, or (iii) immediately for any legitimate business, legal, or regulatory reason.
24.3 Any such termination shall not cancel Your obligation to pay for Services or Cooking Services availed through the Platform, or any other obligation accrued or unfulfilled and relating to the period prior to termination.
24.4 You shall be liable to pay any fees or Charges, if applicable, in respect of Services and Cooking Services availed until the date of termination.
24.5 Survival. The provisions of Clauses 6 (Consent to Use Data, to the extent of lawful retention), 8.8 / 12.3 (Non-Solicitation), 15 (User Content licence), 17 (Intellectual Property), 20 (Disclaimers), 21 (Limitation of Liability), 22 (Indemnity), 25 (Governing Law and Dispute Resolution), 26 (Grievance Redressal), and any other provision that by its nature is intended to survive, shall survive the termination of these Terms.
25. GOVERNING LAW, JURISDICTION, AND DISPUTE RESOLUTION
25.1 These Terms shall be governed by and construed and enforced in accordance with the laws of India.
25.2 Subject to Clause 25.3, the courts in Bengaluru, Karnataka shall have exclusive jurisdiction over all issues arising out of these Terms or the use of the Services.
25.3 Arbitration. Any controversy, conflict, dispute, or difference arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiations between the parties. If the dispute is not resolved within 30 (thirty) days of one party serving written notice on the other, the dispute shall be referred to and finally resolved by arbitration in Bengaluru, Karnataka in accordance with the Arbitration and Conciliation Act, 1996, as in force from time to time, which is deemed to be incorporated by reference into this clause. The arbitral tribunal shall consist of 1 (one) arbitrator appointed by CookEzee. The language of the arbitration shall be English. The arbitration proceedings, the award, and all matters related thereto shall be kept confidential by the parties, save as required by law or for enforcement of the award. The decision of the arbitrator shall be final and binding on all parties. Each party shall bear its own costs in respect of any arbitration, unless the arbitrator orders otherwise.

26.3 The Grievance Officer / Nodal Officer is designated in compliance with (i) the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021; and (ii) the Consumer Protection (E-Commerce) Rules, 2020, as amended from time to time.
26.4 We shall acknowledge the receipt of a complaint within 24 (twenty-four) hours and shall use reasonable efforts to resolve it within the timelines prescribed by applicable laws and as per the Company's internal policies.
27. MISCELLANEOUS PROVISIONS
27.1 Changes to Terms. These Terms are subject to revision at any time, as determined by Us. All changes are effective immediately upon being posted on the Platform. It is Your responsibility to review these Terms periodically. Your continued use of the Platform following any change shall be deemed Your acceptance of the modified Terms.
27.2 Modification to the Services. We reserve the right at any time to add, modify, suspend, or discontinue, temporarily or permanently, the Services (or any part thereof), with or without cause. We shall not be liable for any such addition, modification, suspension, or discontinuation.
27.3 Severability. If any provision of these Terms is held by a court or other authority of competent jurisdiction to be unlawful or unenforceable, the remaining provisions shall continue to be in effect. If any unlawful or unenforceable provision would be lawful or enforceable if a part of it were deleted, that part shall be deemed deleted, and the rest of the provision shall continue in effect.
27.4 Assignment. You shall not license, sell, transfer, or assign Your rights, obligations, or covenants under these Terms, or Your Account, without Our prior written consent. We may grant or withhold consent at Our sole discretion. We may assign Our rights to any of Our affiliates, subsidiaries, parent entities, any successor in interest of any business associated with the Services, or any third party without prior notice to You.
27.5 Notices. All notices, requests, demands, and determinations for Us under these Terms (other than routine operational communications) shall be sent to:

27.6 Third-Party Rights. No third party shall have any rights to enforce any terms contained herein.
27.7 Force Majeure. We shall have no liability to You if We are prevented from or delayed in performing Our obligations, or from carrying on Our business, by acts, events, omissions, or accidents beyond Our reasonable control, including (without limitation) strikes, failure of a utility service or telecommunications network, act of God, war, riot, civil commotion, terrorism, epidemic or pandemic, lockdown, malicious damage, or compliance with any law or governmental order, rule, regulation, or direction.
27.8 Entire Agreement. These Terms, together with the Supplemental Terms, constitute the entire agreement between You and CookEzee with respect to the subject matter hereof and supersede all prior or contemporaneous communications and proposals, whether oral or written.
27.9 Waiver. No waiver by CookEzee of an
